About

Certificate of Commencement of Business after Incorporation of The Company.

The MCA has mandated all the new companies incorporated on or after 2nd November, 2018 to file a new form as a proof that the company has moved for starting business and subscribers/shareholders also deposited the amount of shares subscribed in the company current account.

As soon as the company is incorporated, the vary first step was generally opening of bank account, which now has been changed as w.e.f 15th February 2020 all the companies incorporated will be getting its bank account opened alongwith its company incorporation process through spice+ form..

As soon as the Current account of The Company will be opened, All the Subscribers of the MOA/initial shareholders  has to deposit/transfer the subscribed amount in the company account. After That, The Company shall have to file a declaration within 180 days from the Date of Incorporation in Eform Inc-20A declaring that every subscriber to the memorandum has paid the value of the shares agreed to be taken by him/her allongwith the proof of Payment and Bank Statement.
 

Document Required

  • Bank Statement of The Company Current account showing the amount deposited by the subscriber as per agreed sharing at the time of incorporation.
  • Proof of Payment by all subscribers.
  • Valid DSC of any of the Director.
  • A declaration by any authorized director that the subscribers have deposited the full amount as agreed.

Important points to be noted.

  • The amount must be transferred by the Personal Bank account/saving account of the subscribers in a single transaction..
  • The amount must not be broken in various transaction.
  • Bank Statement must show the name of the Subscriber.

As per section 11(3) where no declaration has been filed with the Registrar within a period of 180 days of the date of incorporation of the company and the Registrar has reasonable cause to believe that the company is not carrying on any business or operations, he may, without prejudice to the provisions of section 11(2), initiate action for the removal of the name of the company from the register of companies under Chapter XVIII
  • Safe from Penal Provision: As per section 11(2), if any default that is complying with the requirements of this section, the company is liable to a penalty which extends to five thousand rupees and every officer who is in default is punishable with fine which extend to one thousand rupees for every day during which the default continues.
