{"id":517,"date":"2020-02-29T19:30:44","date_gmt":"2020-02-29T14:00:44","guid":{"rendered":"https:\/\/www.ezzus.com\/blog\/?p=517"},"modified":"2020-04-01T16:49:25","modified_gmt":"2020-04-01T11:19:25","slug":"new-procedure-of-company-incorporation-2020-spice-plus-form","status":"publish","type":"post","link":"https:\/\/www.ezzus.com\/blog\/new-procedure-of-company-incorporation-2020-spice-plus-form\/","title":{"rendered":"New procedure of company incorporation 2020 spice+"},"content":{"rendered":"<p><strong>The new Procedure of registering a limited company is recently changed with All In Features in a new form called SPICe+, W.E.F. 23rd February, 2020.<\/strong><\/p>\n<p>Pursuant to\u00a0<strong>Companies (Incorporation) Amendment Rules, 2020<\/strong>\u00a0MCA has introduced a one roof and speedy solution for incorporation of the limited Companies by introducing <strong>SPICe+ <\/strong>form which is applicable to all new company incorporations w.e.f. 23<sup>rd<\/sup>\u00a0February, 2020<\/p>\n<p><strong>SPICe+<\/strong>\u00a0Form is integrated\u00a0 web based form having two parts as<\/p>\n<p><strong>a) Part A: Name Reservation for New Companies<\/strong><\/p>\n<p><strong>b) Part B: Offering bundle of registrations like :<\/strong><\/p>\n<ul>\n<li>Incorporation of Company<\/li>\n<li>DIN allotment (Director Identification Number)<\/li>\n<li>Mandatory issue of PAN<\/li>\n<li>Mandatory issue of TAN<\/li>\n<li>Mandatory issue of EPFO registration<\/li>\n<li>Mandatory issue of ESIC registration<\/li>\n<li>Mandatory issue of Profession Tax registration (Maharashtra)<\/li>\n<li>Mandatory Opening of Bank Account for the Company and<\/li>\n<li>Allotment of GSTIN- <span style=\"color: #0000ff;\"><a style=\"color: #0000ff;\" href=\"https:\/\/www.ezzus.com\/services\/gst-registration-online\" target=\"_blank\" rel=\"noopener noreferrer\">GST Registration<\/a><\/span> (if so applied for)<\/li>\n<\/ul>\n<p><strong>Features of New Form :<\/strong><\/p>\n<ol>\n<li>The <strong>SPICe+ has replaced the current running forms Spice (<\/strong><strong>simplified form for <span style=\"color: #0000ff;\"><a style=\"color: #0000ff;\" href=\"https:\/\/www.ezzus.com\/services\/private-limited-company-registration\" target=\"_blank\" rel=\"noopener noreferrer\">company registration<\/a><\/span>)<\/strong><strong> &amp; Run <\/strong><strong>(name approval form) <\/strong><strong>form for incorporation of new company. <\/strong><\/li>\n<li>Now, the there is option to apply for Part A and Part B together at one go or first apply for Part A, for Name Approval thereafter Part B, for Incorporation and other services.<\/li>\n<li>If we select to file only SPICe+ Part A Submitted for Name Approval, after name approval , the process of incorporation will be opened.<\/li>\n<li>The information entered in SPICe+ can be saved and modified before submission.<\/li>\n<li>All Check form and Pre-scrutiny validations (except DSC validation) will be on web form itself.<\/li>\n<li>Once the SPICe+ is filled completely with all relevant details and attachments, the same would then have to be converted into pdf format, for affixing DSC of directors &amp; professional.<\/li>\n<li>DSC validation and other validations will be done at the time of uploading the form with all other linked forms<\/li>\n<\/ol>\n<p><strong>Major Outcomes in incorporation of company<\/strong><\/p>\n<ol>\n<li><strong>Allotment of Director Identification Number of max 3 directors <\/strong>can be availed in spice+ itself. No requirement of applying DIN No before registration.<\/li>\n<li><strong>Mandatory Allotment of PAN &amp; TAN Number <\/strong>allongwith Company Registration thereby the companies need not to apply for PAN &amp; TAN separately.<\/li>\n<li><strong>Registration for EPFO, ESIC and Professional Tax (For state of Maharashtra) is mandatory for all new companies incorporated through SPICe+ w.e.f. 23<sup>rd<\/sup>February, 2020 <\/strong>Which means that all the companies will be issued ESIC &amp; EPFO Numbers on mandatory basis as soon as they will cross the threshhold lmit and now they need to make monthly\/quarterly\/annual compliances of these laws also alongwith MCA &amp; IT compliances. which were mandatory to be complied before also.\n<p style=\"text-align: left;\"><strong>*EPFO\/ESI Returns_ Spice+*<\/strong><\/p>\n<p style=\"text-align: left;\">New companies incorporated through SPICe+ and thereby have obtained EPFO\/ESI numbers will have to file statutory returns only when they cross thresholds prescribed under the relevant Acts.<\/p>\n<\/li>\n<li><strong>All new companies incorporated through SPICe+ w.e.f 23<sup>rd<\/sup>February, 2020 would also be mandatorily required to apply online for opening the company\u2019s Bank account through the <a href=\"https:\/\/www.ezzus.com\/blog\/mca-form-agile\/\" target=\"_blank\" rel=\"noopener noreferrer\">AGILE<\/a>-PRO linked web form<\/strong> which means\u00a0 that Now the companies don\u2019t have to contact the bankers for opening of bank account or will be having a freedom for choosing bank and branch.<\/li>\n<li><strong>Now The process is more simplified as the all new proposed companies and requiring <\/strong><a href=\"https:\/\/www.ezzus.com\/services\/gst-registration-online\" target=\"_blank\" rel=\"noopener noreferrer\">GST Registration<\/a> can also apply for the same allongwith incorporation procedure and don\u2019t have to wait for step by step procedure or time taken by the Regulator for approval of application.<\/li>\n<li><strong>Fast And Speedy Process<\/strong>&#8211; The procedure of Incorporation through spice+ is fast and speedy process allongwith all the registration in one go.<\/li>\n<li><strong>Cost Effective<\/strong>&#8211; The Procedure for incorporation with all the features is very cost effective as there is various kind of fees relaxation for new company.
