{"id":509,"date":"2020-01-07T13:24:02","date_gmt":"2020-01-07T07:54:02","guid":{"rendered":"https:\/\/www.ezzus.com\/blog\/?p=509"},"modified":"2020-05-21T19:39:10","modified_gmt":"2020-05-21T14:09:10","slug":"appointment-and-remuneration-of-managerial-personnel-amendment-rules-2020","status":"publish","type":"post","link":"https:\/\/www.ezzus.com\/blog\/appointment-and-remuneration-of-managerial-personnel-amendment-rules-2020\/","title":{"rendered":"Appointment and Remuneration of Managerial Personnel Amendment Rules 2020"},"content":{"rendered":"<p><strong>Companies (Appointment and Remuneration of Managerial Personnel) Amendment Rules, 2020.<\/strong><\/p>\n<p>They shall be applicable in respect of financial years commencing on or after<br \/>\n1&#8243;t April, 2020.<\/p>\n<p>2. ln the Companies (Appointment and Remuneration of Managerial Personnel)<br \/>\nRules, 2O14 (herein after referred to as said rules), for rule 8A, the following shall be<br \/>\nsubstituted as under:-<br \/>\n&#8220;8A. Every private company which has a paid up share capital of ten crore rupees or<br \/>\nmore shall have a whole -time company secretary.&#8221;.<br \/>\n3. In the said rulcs, in rule 9 of the said rules, in sub-rule (1),<br \/>\n(i) after clause (b), at the end the word &#8220;or&#8221; shall be inserted.<br \/>\n(ii) aftcr clause (b), the following clause shall be inserted, namely:-<br \/>\n&#8220;(c) every company having outstanding loans or borrowings from banks or public<br \/>\nfinancial institutions of one hundred crore rupees or more.&#8221;.<br \/>\n(iii) the following trxplanation shall be inserted, namely:-<br \/>\n&#8220;Explanation :- For the purposes of this sub-rule, it is hereby clarified that the paid<br \/>\nup share capital, turnover, or outstanding loans or borrowings as the case may be,<br \/>\nexisting on the last date of latest audited financial statement shall be taken into<br \/>\naccount.&#8221;.<\/p>\n<!-- AddThis Advanced Settings generic via filter on the_content --><!-- AddThis Share Buttons generic via filter on the_content -->","protected":false},"excerpt":{"rendered":"<p>Companies (Appointment and Remuneration of Managerial Personnel) Amendment Rules, 2020.
